Terms & Conditions Terms of Use Privacy Policy

This Service Agreement ("Agreement") is entered into between Mirjy Technologies Ltd ("Mirjy" or "Service Provider") a company registered in Ghana under number CS224200925, and the user of the system ("Client"). Both parties agree to the terms and conditions set out herein.

1. Scope of Work

Mirjy Technologies Ltd agrees to provide the Client with access to a fully hosted and maintained Stock Management System. The system includes the following modules and features:

  • Product Catalogue — manage all stock items with categories and units
  • Manual Stock Entry — log deliveries and perform stock counts
  • Usage & Wastage Logging — record daily usage and spoilage
  • Low Stock Alerts — per-item thresholds with automated notifications
  • Stock Summary Report — real-time snapshot of current stock levels
  • Usage & Variance Reports — consumption trends and discrepancy tracking
  • Reorder Report — auto-generated restocking list
  • Export to Excel & PDF — all reports exportable

Out of Scope: Any feature, function, or service not explicitly listed above is outside the scope of this Agreement and will require a separate written amendment or new agreement.

2. Subscription Plan & Timeline

The Client selects a subscription plan during registration. Plans may include Flexible, 6-Month, 12-Month, or 5-Year options. Monthly or total billing applies as per the chosen plan. The Client is expected to be onboarded within 24 hours of payment confirmation.

3. Payment Terms

3.1 Payment Structure

The payment structure is subscription-based. Fees are agreed upon at the time of registration and depend on the selected plan.

3.2 Late Payment Policy

Access to the system will be suspended if a payment is overdue.

4. Cancellation Policy

Subscriptions may be cancelled as per the terms of the selected plan. Access to the system will remain active through the end of the paid billing period. No refund is issued for partial months/periods unless otherwise agreed in writing.

5. Hosting & Maintenance

Hosting and system maintenance are included in the subscription fee for the duration of the active plan. Mirjy reserves the right to adjust rates with 15 days written notice to the Client.

6. Limitation of Liability

Mirjy's total liability to the Client under this Agreement shall not exceed the total fees paid by the Client. Mirjy shall not be liable for any indirect, consequential, or incidental damages arising from the use or inability to use the system.

7. Governing Law

This Agreement shall be governed by and construed in accordance with the laws of the Republic of Ghana.

8. Dispute Resolution

In the event of a dispute, both parties agree to first attempt resolution through good-faith negotiation. If unresolved within 14 days, the dispute shall be referred to mediation or arbitration in accordance with the laws of the Republic of Ghana.
